Terms and conditions

1. Acceptance
By using the site or subscribing you accept these terms. If you sign on behalf of a legal entity, you represent having authority to bind it.
2. Definitions
- SIVO or the Service: SaaS virtual PBX platform operated by Cloudtree Solutions, S.L.
- Customer: legal or natural person subscribing the Service.
- Authorized users: Customer’s employees or collaborators with access to the Service (agents, supervisors, admins).
- Fee: recurring amount billed for the Service per chosen plan.
- Cloud platform: SIVO is delivered exclusively as Cloudtree-managed SaaS. No installable version is distributed for commercial use.
3. Subject matter
Cloudtree grants the Customer a non-exclusive, non-transferable right to access the Service limited to the contracted period. Cloudtree retains ownership of the software, trademarks (including “SIVO”), documentation and derivative improvements.
4. Subscription and plans
- Current plans and prices at https://sivocenter.com/en/pricing/.
- Billing is monthly or annual prepaid per plan.
- Prices exclude VAT or applicable taxes.
- Cloudtree may revise prices with 60-day notice.
4.1 Free trial
The trial period (when available) lasts 14 days, no commitment. To continue afterwards, a payment method is required.
4.2 Add-ons
Usage beyond the included quota (extra PSTN minutes, extra recording, extra transcription, AI minutes, extra DIDs) is billed per published rates.
5. Customer obligations
The Customer commits to:
- Use the Service in accordance with applicable law.
- Not share credentials outside their organization.
- Not use SIVO to send non-consented commercial communications (telephone spam, illegal robocalls).
- Keep contact and billing data up to date.
- Obtain the necessary consents from callers for recording and transcription when applicable.
- Not reverse-engineer, decompile or attempt to extract the software.
- Not use the Service to automate attacks (DDoS, mass vishing, etc.).
6. Cloudtree obligations
Cloudtree commits to:
- Provide the Service with due diligence per the applicable SLA.
- Maintain technical and organizational measures to protect Customer data per DPA.
- Notify incidents on
status.sivocenter.com. - Notify security breaches per GDPR art. 33-34.
7. Suspension and termination
Cloudtree may suspend the Service if:
- Customer accumulates overdue payments over 30 days.
- Customer materially breaches these terms.
- There is reasonable suspicion of fraud or illegal use.
- Required by a competent authority.
Customer may cancel at any time from their dashboard; the plan remains active until the end of the billed period.
After termination, Cloudtree will retain data for 30 days in exportable format, after which it will be deleted unless legal retention obligations apply.
8. Intellectual property
- “SIVO” and associated logos are trademarks of Cloudtree Solutions, S.L.
- Customer retains all rights to their data (CDR, recordings, transcriptions).
- Cloudtree may use aggregated and anonymized data to improve the Service.
9. Limitation of liability
Cloudtree’s liability is capped at the equivalent of 12 monthly fees of the contracted Service. Excluded:
- Indirect damages, lost profits, lost opportunity.
- Force majeure or fortuitous event.
- Damages from Customer breach.
- Damages from AI providers contracted directly by Customer.
Nothing in these terms limits liability for willful misconduct, fraud, or damage to life or physical integrity.
10. AI service warranties
SIVO orchestrates AI providers with your own API keys. Cloudtree does not guarantee the accuracy, completeness or fitness of transcriptions, translations or responses generated by those providers. Customer is responsible for validating outputs before using them in automated decisions with legal effect.
11. Data protection
Personal data processing is governed by the DPA (Annex I), forming an integral part of this contract.
12. Confidentiality
Each party will treat as confidential the information disclosed under the contract. This obligation survives 3 years after termination.
13. Term modification
Cloudtree may modify these terms with 30-day notice. If Customer rejects the changes, they may terminate without penalty before effectiveness.
14. Assignment
Customer may not assign this contract without written authorization. Cloudtree may assign it to affiliated or successor entities with 30-day notice.
15. Governing law and jurisdiction
These terms are governed by Spanish law. The parties submit to the courts of (city pending), waiving any other jurisdiction.
